
2025年9月3日,北京中銀(深圳)律師事務所權益合伙人譚岳奇律師應邀為深圳市建安(集團)股份有限公司(“建安集團”)進行了一場題為“國際建設工程業務的法律解讀”的專題培訓。本次培訓旨在提升建安集團在國際工程領域的法律風險識別與防控能力,集團管理層、國際業務部、法務部及項目核心人員等參加了此次培訓。
在培訓中,譚岳奇律師以理論結合實踐,系統梳理了國際工程業務面臨的核心法律問題。他首先概述了大陸法系、英美法系及伊斯蘭法系等世界主要法律體系的差異及其對工程合同的潛在影響。隨后,他以國際通用的FIDIC合同體系為核心,深入解讀了合同準據法選擇、風險分配機制、工程變更、工期延誤(EOT)與索賠、缺陷責任期、竣工驗收、合同終止等關鍵條款。譚律師詳細分析了“背對背”付款條款的效力、業主資金安排義務以及情勢變更、不可抗力(例外事件)的適用條件等實務難點。
此外,譚律師還就“十年責任”(Decennial Liability)、監理工程師的角色定位、分包商直接起訴業主的權利、德國法上的窩工索賠等專項問題進行了精彩闡述,并通過案例解析,使晦澀的法律條文變得生動易懂。講座最后,譚律師全面總結了國際工程業務在各階段可能面臨的各類風險。會后,譚律師與部分參會人員進行了互動。

On September 3, 2025, Tan Yueqi(Vincent), an equity partner at Beijing Zhongyin (Shenzhen) Law Firm, was invited by Shenzhen Jian’an Group to conduct a thematic training session titled “Legal Interpretation of International Construction Contract.” The training aimed to enhance the Group's ability to identify and prevent legal risks in the field of international construction contract. Participants included personnel from the Group's management, international business department, legal affairs department, and core projects.
During the training, Tan Yueqi(Vincent) adopted a theory-practice integrated approach to systematically outline the core legal issues faced in international construction contract. He began by summarizing the differences among the world's major legal systems, such as Civil Law, Common Law, and Islamic Law, and their potential impacts on international construction contracts. Subsequently, using the internationally recognized FIDIC contract system as a framework, he provided an in-depth interpretation of key clauses, including the choice of governing law, risk allocation mechanisms, variations, extension of time (EOT) and claims, defects liability period, tests on completion and taking over, and contract termination. Mr. Tan also conducted a detailed analysis of practical challenges such as the validity of “pay when paid” clauses, the owner’s obligations regarding financial arrangements, and the applicable conditions for changed circumstances and force majeure (exceptional events).
Furthermore, Mr. Tan elaborated on specialized issues, including “Decennial Liability”, the role and positioning of the engineer, the right of subcontractors to directly sue the owner, and claims for idle costs under German law. Through case studies, he made complex legal provisions vivid and easy to understand. At the end of the lecture, Mr. Tan comprehensively summarized the various risks that may arise at different stages of international construction contract. After the session, he engaged in interactions with some of the participants.
Shenzhen Jian'an Group is now a subsidiary of Shenzhen Special Zone Construction and Development Group Co., Ltd. Currently, the company operates as a large, multi-faceted state-owned enterprise group under the Shenzhen municipal government, with construction engineering as its core business, while also engaging in investment operations and property leasing management.
